1. AGREEMENT TO TERMS

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Epoch Labs LLC, a Wyoming limited liability company (“Company,” “we,” “us,” or “our”). The Company operates this website and offers products under the brand name Epiq Labz (“Epiq Labz,” the “Brand,” or the “Site”).

By accessing our website, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations.

If you do not agree to these Terms, you must not access the website or purchase any products. We reserve the right to modify these Terms at any time. Continued use of the website following any changes constitutes acceptance of those changes.

2. ELIGIBILITY AND CUSTOMER REPRESENTATIONS

2.1 Age Requirement

You must be at least 18 years of age to use this website or purchase products. By using our website, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into binding contracts.

2.2 Qualified Purchaser Certification

By placing an order, you represent and warrant that: (a) you are a qualified researcher, laboratory professional, educational institution representative, or other qualified professional with legitimate research purposes; (b) you will use all products solely for in-vitro research, laboratory experimentation, or educational purposes; (c) you will NOT use, administer, or allow any product to be used for human or animal consumption; (d) you will NOT use any product for diagnostic, therapeutic, or clinical purposes; (e) you have the knowledge and training necessary to handle research chemicals safely; (f) you will comply with all federal, state, and local laws and regulations regarding the purchase, possession, and use of research peptides and chemicals; and (g) you will maintain proper storage conditions and documentation for all products.

2.3 Geographic Restrictions

Products are only available for purchase and shipment within the United States. We do not ship internationally. You are solely responsible for ensuring that your order complies with all applicable federal, state, and local laws in your jurisdiction. We reserve the right to refuse or cancel orders destined for states or territories where our products may be restricted or prohibited.

3. PRODUCT INFORMATION AND INTENDED USE

3.1 Research Use Only

ALL PRODUCTS SOLD UNDER THE EPIQ LABZ BRAND ARE FOR RESEARCH PURPOSES ONLY. Products are not intended for human or veterinary use and have not been evaluated or approved by the Food and Drug Administration (FDA) or any other regulatory agency for safety, efficacy, or any other purpose. Products are not drugs, supplements, foods, cosmetics, or any other consumer product category.

3.2 No Medical Claims

We make no claims regarding the safety, efficacy, or suitability of any product for any purpose other than in-vitro research. Any descriptions, documentation, or reference materials provided are for informational and educational purposes only and should not be construed as medical advice, health claims, or recommendations for any use.

3.3 Product Specifications

We strive to ensure that all product descriptions, specifications, and purity information are accurate. However, we reserve the right to correct any errors or inaccuracies. Product availability and specifications are subject to change without notice.

4. ORDERS AND PAYMENT

4.1 Order Acceptance

All orders are subject to acceptance by the Company. We reserve the right to refuse or cancel any order for any reason, including but not limited to: product unavailability, errors in pricing or product information, suspected fraud or unauthorized transactions, orders that appear to violate these Terms, or orders destined for restricted jurisdictions.

4.2 Pricing

All prices are listed in U.S. Dollars (USD) and are subject to change without notice. Prices do not include shipping costs or applicable taxes, which will be calculated and displayed at checkout. In the event of a pricing error, we reserve the right to cancel the order and refund any amount paid.

4.3 Payment Terms

Payment is due in full at the time of order. We accept major credit cards and other payment methods as displayed at checkout. All payments are processed through our secure, PCI-compliant payment processor. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge the full order amount.

4.4 Billing Descriptor

Charges will appear on your statement as “EPIQ LABZ” or a similar descriptor. If you have questions about a charge, please contact us before disputing with your financial institution.

4.5 Order Issues and Payment Disputes

If you experience an issue with your order, you agree to contact us at [email protected] within forty-eight (48) hours of confirmed delivery. We are committed to reviewing and resolving legitimate concerns promptly.

By placing an order, you agree to provide the Company a reasonable opportunity to address any issue prior to initiating a chargeback or payment dispute with your financial institution. Orders are shipped with carrier tracking. Carrier-confirmed delivery to the address provided at checkout constitutes proof of fulfillment.

5. SHIPPING AND DELIVERY

5.1 Shipping Methods

We ship via reputable carriers within the United States. Shipping options and costs are displayed at checkout. Delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, weather, or other circumstances beyond our control.

5.2 Risk of Loss

Title and risk of loss pass to you upon delivery of the products to the carrier. We are not responsible for lost, stolen, or damaged packages after they have been delivered to the carrier. For high-value orders, we recommend selecting shipping options that include insurance and signature confirmation.

5.3 Shipping Address

You are responsible for providing accurate shipping information. We are not responsible for orders shipped to incorrect addresses provided by the customer. Additional shipping charges may apply for re-shipment due to customer error.

6. ALL SALES FINAL

6.1 Final Sale Policy

Due to the nature of research peptides and strict quality control requirements, all sales are final. We cannot accept returns of any products, whether opened or unopened. Once a product leaves our facility, we cannot verify its storage conditions, handling, or integrity.

6.2 Damaged, Defective, or Incorrect Products

If you receive a damaged, defective, or incorrect product, please contact us within forty-eight (48) hours of delivery with photographic documentation showing the damage or error. Upon verification, we will ship a replacement product at no additional cost. Replacements are provided at our sole discretion and only for verified shipping errors or damage that occurred during transit. We do not provide refunds. Replacement is the sole remedy for verified damage, defects, or shipping errors.

6.3 Lost Packages

If your package is marked as delivered but you did not receive it, please contact us within forty-eight (48) hours. We will work with you and the carrier to attempt to locate the package. We are not responsible for packages marked as delivered by the carrier, and replacements for lost packages are provided at our sole discretion.

6.4 Chargebacks

If you believe there is an issue with your order, you agree to contact us first so we can review and attempt to resolve the matter. If a chargeback or dispute is initiated, we may provide documentation to the payment processor and financial institution, including order details, tracking information, delivery confirmation, and copies of these Terms.

7. INTELLECTUAL PROPERTY

All content on this website, including but not limited to text, graphics, logos, images, product descriptions, and software, is the property of Epoch Labs LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.

8. PROHIBITED USES

You agree NOT to: use products for human or animal consumption or any clinical, diagnostic, or therapeutic purpose; resell products to end users who intend to use them for human or animal consumption; make false representations regarding your qualifications, intended use, or affiliation; use the website for any illegal purpose or in violation of any laws; engage in fraudulent activity, including using stolen payment information; interfere with or disrupt the website or servers; attempt to gain unauthorized access to any systems; use automated systems to access the website without permission; or post false, misleading, or defamatory content.

9. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT PRODUCTS WILL MEET YOUR RESEARCH REQUIREMENTS OR THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EPOCH LABS LLC, ITS OWNERS, MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR PRODUCTS OR WEBSITE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Epoch Labs LLC, its owners, members, managers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: your use of any products; your violation of these Terms; your violation of any laws or regulations; your misrepresentation of your qualifications or intended use; any use of products for human or animal consumption; or any claims by third parties related to your use of products.

12. DISPUTE RESOLUTION

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.

12.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us and attempt to resolve any dispute informally for at least thirty (30) days.

12.3 Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Wyoming or, at our discretion, via telephone or video conference. The arbitrator’s decision shall be final and binding.

12.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

13. COMPLIANCE WITH LAWS

You are solely responsible for compliance with all applicable federal, state, and local laws and regulations regarding your purchase, possession, and use of products. This includes, but is not limited to, regulations governing research chemicals, laboratory safety, and professional licensing requirements.

14. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

15. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other legal notices published on the website, constitute the entire agreement between you and Epoch Labs LLC regarding your use of the website and purchase of products. Any prior agreements, representations, or understandings are superseded by these Terms.

16. WAIVER

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Epoch Labs LLC.

17. ASSIGNMENT

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction.
